TERMS OF SERVICE

1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the SpotBounty website and preregistration/early-access platform (the "Service", "SpotBounty", "we", "us"). By submitting a preregistration form, joining a waitlist, sharing or clicking a referral link, or otherwise interacting with the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. If you submit a Business preregistration on behalf of an organization, you represent that you are authorized to act on that organization's behalf and to bind it to these Terms. You represent that all information you provide is true, current, and complete.
3. Early Access & Phase 0 Status
SpotBounty is in a Phase 0 preregistration and early-access period. Submitting a preregistration is an expression of interest only. It is not a purchase, contract for services, employment relationship, agency, partnership, or joint venture, and it does not guarantee:
- that SpotBounty will launch general availability, in any specific timeframe, or in your geographic area;
- that you will be admitted to any beta, early-access group, or future launched program;
- that you will receive any priority, service level, opportunity, listing, or future access; or
- that any feature displayed or described will exist at launch, remain available, or continue to function as previewed.
Features and pricing may change, be delayed, be limited, be suspended, or be discontinued at SpotBounty's discretion, and preregistration confers no vested right in any planned feature or program.
4. Platform Role
SpotBounty is a technology platform intended to facilitate future connections between independent vending operators, businesses seeking vending service, and location sources. SpotBounty does not own, install, service, restock, or operate vending machines. During Phase 0 SpotBounty is not facilitating live paid marketplace transactions, placement agreements, or introductions between businesses and vending operators, and is not a party to any vending relationship between third parties.
5. Scout Bounty Program — Planned Structure and Disclosures
Marketing material on the Service may reference "Up to $450" for a Scout bounty. The currently planned, non-guaranteed bounty structure at the time of publication is:
- $299 listing → 10% Scout bounty = $29.90
- $499 listing → 15% Scout bounty = $74.85
- $699 listing → 20% Scout bounty = $139.80
- $999 listing → 25% Scout bounty = $249.75
- $1,499 listing → 30% Scout bounty = $449.70
These figures are illustrative and not guaranteed income. They describe the currently planned Scout program at the time of publication. Bounties, tiers, listing prices, and program mechanics are subject to change or discontinuation before the paid Scout program launches. "Up to $450" is a marketing headline that describes the top of the planned tier; it is not typical earnings and is not a projection of what any particular Scout will earn.
Preregistering as a Scout does not earn any bounty. To become eligible for a bounty when the Scout program is live, a Scout must (a) meet the Scout program terms in effect at that time, (b) submit information that meets applicable verification and qualification requirements, and (c) result in a successful qualifying sale/transaction under the program terms then in effect. SpotBounty does not guarantee that any submitted location will qualify, will be listed, will be sold, or will pay a bounty. Program terms, eligibility criteria, and payout mechanics that apply when the paid Scout program launches will govern payment; those terms may be updated prospectively.
6. Pre-Launch Referral Attribution
Referral codes and referral links captured during Phase 0 are used only to preserve attribution — an internal record of who referred whom. Attribution:
- is not cash, stored value, wages, property, or a guaranteed commission;
- does not create a right to any payment; and
- is not a promise of eligibility in any future paid referral program.
If SpotBounty launches a paid referral or affiliate program in the future, that program will be governed by separate, updated program terms introduced at that time, which may impose additional eligibility, verification, and anti-abuse requirements. SpotBounty may reject, reverse, or decline to credit any attribution that appears fraudulent, self-referred, duplicated, or manipulated, and may verify attribution at any time.
7. Creator Program
Preregistering as a Creator does not create a paid relationship with SpotBounty. During Phase 0 there is no Creator commission, revenue share, or paid endorsement in effect. Any future Creator compensation program will be governed by separate program terms. Nothing in these Terms creates an employer/employee, agency, partnership, franchise, or joint-venture relationship between SpotBounty and a preregistered Creator.
8. Operators
Preregistering as an Operator does not guarantee leads, locations, territories, revenue, exclusivity, or marketplace access. Independent vending operators are solely responsible for their own licenses, permits, insurance, equipment, installation, food/product/health compliance, tax obligations, and day-to-day business operations. Nothing in these Terms transfers any such responsibility to SpotBounty. When and if the paid marketplace launches, additional Operator-side terms will apply and will be presented to Operators before any paid marketplace activity.
9. Businesses
Submitting a Business preregistration during Phase 0 is free and does not guarantee that a vending operator will be introduced, that vending equipment will be installed, or that any specific service level or timeframe will be met. During Phase 0, Business preregistration submissions are not offered or sold to Operators as active marketplace inventory. Any future sharing of Business preregistration information with third parties will be subject to updated disclosures presented at that time.
9A. Seller Interest
SpotBounty may collect seller-interest submissions from users who currently own or operate vending locations, machines, or routes and may be considering selling. Submitting seller interest is an expression of interest only; it does not create a listing, guarantee a sale, price, buyer, or transfer, and does not obligate SpotBounty to introduce any prospective buyer, list any asset, or facilitate any transaction. Any financial figures a seller chooses to share during Phase 0 are seller-provided and are not independently verified by SpotBounty. When and if a seller-side marketplace launches, additional program terms will apply.
10. Accurate Information & Authority
You agree to provide information that is truthful, accurate, and current, and to update it if it becomes inaccurate. You agree not to impersonate any person or entity, submit information on behalf of a person or entity without authorization, or use the Service to circumvent identity, verification, or anti-abuse controls.
11. Prohibited Conduct
You agree not to:
- submit fraudulent, fake, duplicate, or misleading registrations, referrals, or messages;
- use automated means (bots, scripts, scrapers, headless browsers) to interact with the Service except as expressly permitted;
- attempt to bypass, disable, or interfere with rate limiting, bot protection, duplicate detection, or any other security or integrity control;
- harvest, scrape, or mass-collect information from the Service;
- upload or transmit malicious code, viruses, or content designed to interfere with the Service;
- attempt unauthorized access to any account, database, admin interface, or non-public portion of the Service;
- impersonate any person or misrepresent an affiliation with SpotBounty or any third party;
- use the Service in violation of applicable law; or
- abuse referral tracking, or exploit any bug, glitch, or reward mechanism, whether or not economic reward is currently active.
12. Intellectual Property
The Service and its content — including the SpotBounty name, logos, wordmarks, designs, page layouts, images, software, source code, database structure, and any original text — are owned by SpotBounty or its licensors and are protected by applicable intellectual-property laws. You are granted no license to any SpotBounty mark or material except the limited right to use the Service as intended. You retain ownership of information and content you submit. By submitting information you grant SpotBounty a non-exclusive, worldwide, royalty-free license to store, process, evaluate, and use that information for the limited purposes of operating the current Service, communicating with you, preserving referral attribution, preventing abuse, and enabling future functionality that is disclosed to you at the time it is launched. This license does not authorize SpotBounty to publicly display or sell private business or contact details.
13. Third-Party Services
SpotBounty uses third-party service providers to host the Service, store data, deliver transactional email, and prevent automated abuse. Your interaction with any third-party service is governed by that third party's own terms and privacy policy. See our Privacy Policy for the current list of providers.
14. No Guarantees
SpotBounty does not guarantee: general launch or availability of the Service; admission to any future beta or launched program; the accuracy, completeness, or usefulness of any listing, referral, opportunity, or match; that any Scout submission will qualify, list, sell, or pay; that any Business will be matched with an Operator; that any Operator will receive leads, revenue, or exclusivity; that any Creator will earn commission; that any placement, if made, will be profitable or continue for any duration; or that the Service will be uninterrupted, error-free, secure, or free of loss.
15. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
16. Limitation of Liability
To the fullest extent permitted by applicable law, SpotBounty and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunity, lost revenue, business interruption, or goodwill, arising out of or relating to your use of the Service, whether based in contract, tort, statute, or any other theory, even if advised of the possibility of such damages. SpotBounty's total aggregate liability arising out of or relating to the Service will not exceed the greater of (i) one hundred U.S. dollars ($100), or (ii) the amount you paid to SpotBounty in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless SpotBounty and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your unlawful use of the Service, (b) any false, unauthorized, or misleading information you submit, (c) your violation of these Terms, or (d) your violation of the rights of any third party.
18. Termination & Suspension
SpotBounty may, at its discretion and without prior notice, suspend, restrict, or terminate your access to the Service and remove or invalidate any submission, attribution, or account if we reasonably believe you have engaged in fraud, abuse, prohibited conduct, security threats, or a violation of these Terms.
19. Changes to these Terms
SpotBounty may revise these Terms from time to time. Changes apply prospectively from the "Last updated" date at the top of this page. Where reasonable and appropriate, SpotBounty will provide additional notice of material changes (for example, by email to preregistered users). Your continued use of the Service after a revision constitutes acceptance of the revised Terms.
20. Severability & Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. No failure to enforce a provision constitutes a waiver of that provision. These Terms, together with the Privacy Policy and any future program-specific terms introduced by SpotBounty, constitute the entire agreement between you and SpotBounty regarding the Service and supersede any prior understanding on that subject.
